Licensing Terms and Conditions for Repository

1. Definitions

“License” shall mean the terms and conditions for use, reproduction and distribution as defined under this Agreement.

“Licensor” shall mean the copyright owner of the Work, known as Adaptavist Group Ltd and its affiliates and subsidiaries.

“You/Your” shall mean an individual or legal entity exercising permissions granted by this License.

“Work” shall mean the copyrighted work of the Licensor or any legal entity or individual authorized to represent and submit work on behalf of Adaptavist, which shall include any code snippets, source code, object, documentation, intellectual property or words posted on the Repository at any time.

“Repository” shall mean this source code repository which archives and hosts the Work and the allows for knowledge transfer and information sharing between the Licensor and You.

“Contributor” shall mean Licensor and any individual or Legal Entity on behalf of whom a Contribution has been received by Licensor or posted on the Repository and subsequently incorporated within the Work.

“Contribution” shall mean any work of authorship, including the original version of the Work and any additions or modifications to that Work or derivative works thereof, that is intentionally submitted to Licensor or posted on the Repository for inclusion in the Work by the copyright owner or by a legal entity or individual authorized to submit on behalf of the copyright owner, whether sent by written, electronic or verbal communication to the Licensor or its representatives.

2. Grant of Copyright License All right, title and interest in Adaptavist Work shared or posted by any employee or representative of the Licensor on this Repository shall remain the exclusive intellectual property of the Licensor. The Licensor reserves all rights not expressly granted in these terms and conditions. Subject to the terms and conditions contained herein, the Licensor grants You, as a ScriptRunner customer with a valid license purchased at https://marketplace.atlassian.com/, a limited, non-exclusive, non-transferrable, royalty-free, freely revocable right to make use of Adaptavist Work within Your own instance of Atlassian products. Adaptavist Work is licensed, not sold, and You do not acquire any rights of ownership of Adaptavist Work hereunder.

3. Grant of Patent License Subject to the terms and conditions of this License, the Licensor grants to You a worldwide, non-exclusive, non-transferrable, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import and otherwise transfer the Work, where such license applies only to those patent claims licensable by such Contributor that are necessary infringed by their Contribution(s) alone or by combination of their Contribution(s) with the Work to which such Contribution(s) was submitted. If You institute patent litigation against any entity (including a cross-claim or counterclaim in a lawsuit) alleging that the Work or a Contribution incorporated within the Work constitutes direct or contributory patent infringement, then any patent licenses granted to You under this License for that Work shall terminate as of the date such litigation is filed.

4. Conditions of License

By using this Repository, You accept that:

(i) You may not (and may not allow any third party) to modify, adapt, disassemble, decompile, translate, reverse engineer or otherwise attempt to discover any software (source or object code), structure or sequence of Work;

(ii) You have no permission or right to remove, obscure, or change any copyright, trademark, trade names or hyperlink contained in or on Work;

(iii) You will not attempt to pass off Work as your own intellectual property and that nothing in these terms gives the Licensee any right to use the Adaptavist name or any of the Adaptavist trademarks, logos, domain names or other distinctive brand features or to pass off Work as Your own;

(iv) any derivative code or products must be used solely by You as licensee and shall not be used for profit, sublicensing, redistribution, reproduction or circulation unless authorized by these terms and conditions. If You wish to distribute the code to a third party, You must seek written permission from Adaptavist by emailing [products@adaptavist.com]. If You do not receive consent in writing from Adaptavist, You will have no right to share or disseminate any Work posted to the Repository and will be liable for any damages if You materially misrepresent or publish any Work; and

(v) You agree that You will delete any Work from your instances and systems as soon as your license expires and accepts that Your right to use or access Work will immediately cease;

5. General Terms

5.1 You are responsible for periodically reviewing these terms and conditions, as they may be updated from time to time. You understand and accept that further use of Adaptavist Work, should these terms and conditions be updated, is subject to Your acceptance of these revised terms and conditions.

5.2 Adaptavist accepts no liability for any Work, Contribution or claim posted on the Repository and You must accept the Work on an “As is” basis without warranties or conditions or any kind, either express or implied.

5.3 These terms and conditions shall apply to all Work within the Repository and may not be removed, deleted or altered at any time by You or any third party. If You share the Work, You must include a notice linking these terms and conditions to the Work and acknowledge the Licensor’s copyright ownership of the Work.
